The journey of DealShare, an e-commerce platform focused on groceries and household essentials, is nearing its end as the company’s board weighs potential acquisitions by online pharmacy platform TrueMeds and meat and seafood e-retailer Captain Fresh, sources told Entrackr.
Talks between DealShare, TrueMeds and Captain Fresh are underway but have not reached a final agreement. If neither transaction materialises, DealShare is likely to wind down its operations, said three sources requesting anonymity as the discussions are yet to be made public.
“DealShare is effectively at a point where it has two options: find a buyer or shut down. The discussions with TrueMeds are more advanced than those with Captain Fresh, but nothing has been finalised yet,” said one of the sources mentioned above.
The potential transaction is not being driven by DealShare’s existing business or scale, the source added. The company’s operations have contracted significantly after years of declining revenue, making the talks more of a financial transaction than an acquisition of a substantial operating business.
“DealShare does not have much of a business left to acquire. If the deal goes through, it would largely be a money-transfer transaction rather than TrueMeds buying a meaningful ecommerce business,” another source said.
TrueMeds and DealShare also have a common investor in WestBridge Capital, which could help facilitate discussions between the two companies. Captain Fresh, meanwhile, has been expanding through acquisitions and building businesses across fresh food and retail. The company also has common investor links with DealShare through Matrix Partners India, now known as Z47.
DealShare has been struggling for several years. The company laid off more than 100 employees in FY24 and shut down its B2B vertical as part of a restructuring exercise. Despite these measures, its revenue continued to decline.
Its gross revenue from operations fell 13.4% to Rs 432 crore in FY25 from Rs 499 crore in FY24 and Rs 1,963 crore in FY23. At the same time, the company narrowed its losses to Rs 87.65 crore in FY25 from Rs 167 crore in FY24. Its FY26 financials are yet to be filed.
The company’s senior management has also changed significantly. DealShare’s latest CEO, Kamaldeep Singh, left several months ago, while CFO Ashish Shah has also exited, according to sources. All four co-founders, Vineet Rao, Shankar Bora, Sourjyendu Medda and Rajat Shikhar, have also left the company.
“By the time DealShare started changing its model and management, the business had already lost too much ground. The cost cuts helped reduce losses, but they did not create a path back to growth,” a source said.
The Entrackr team also checked DealShare’s website across different locations, but it did not appear to be operational at the time of checking.
DealShare’s early backer Matrix Partners India, now known as Z47, has also completely written off its investment in the company, according to sources.
The startup turned unicorn in January 2022 and has raised $393 million to date from investors including Tiger Global, ADIA, Alpha Wave and Kora Investment. Its last major fundraise was a $45 million round from ADIA at a valuation of $1.7 billion, shortly after its unicorn round.
Entrackr has reached out to DealShare, TrueMeds, Captain Fresh, Kamaldeep Singh, Alpha Wave, and Z47 for comments. The story will be updated if they respond.
