The energy major is restructuring its domestic footprint by transferring key city gas distribution zones to its subsidiary ahead of the public offering, backed by stronger-than-expected quarterly earnings. Discover how the asset consolidation will impact upcoming valuation multiples.
GAIL's board has given in-principle approval for the listing of its wholly owned subsidiary, GAIL Gas, through an Initial Public Offering (IPO), which will involve dilution of up to 25% of the parent company’s equity stake in the subsidiary, the company announced on Friday, October 30.
The final extent of dilution, IPO structure, valuation, price band and other terms will be decided after GAIL Gas submits its proposal based on recommendations from the Book Running Lead Managers (BRLMs). The proposal will then be placed before GAIL’s board for final approval, according to the company’s exchange disclosure.
Separately, the board has approved the transfer of six City Gas Distribution (CGD) geographical areas from GAIL India to GAIL Gas through a slump sale on a going-concern basis. The transfer will be effective January 1, 2027.
The six geographical areas are Varanasi, Patna, Ranchi, East Singhbhum, Cuttack and Khordha.
GAIL Q2 results: Revenue, EBITDA beat estimates
The IPO approval comes alongside GAIL’s September quarter results, which beat analyst expectations on a sequential basis. The company reported a 17.8% year-on-year (YoY) increase in revenue to ₹45,895 crore, higher than the CNBC-TV18 poll estimate of ₹40,426 crore.
Earnings before interest, taxes, depreciation and amortisation (EBITDA) remained broadly flat at ₹6,412 crore, significantly ahead of the poll estimate of ₹4,741 crore, which had projected a decline.
EBITDA margin stood at 14%, down 240 basis points sequentially from the June quarter, but above the CNBC-TV18 poll estimate of 11.7%.
Shares of GAIL ended 1.7% higher at ₹167.91 following the Q2 results and IPO announcement on Friday.
