Logistics and e-commerce enablement platform Shiprocket has reduced the size of its initial public offering (IPO) by 31% in its red herring prospectus (RHP), lowering the issue size to Rs 1,617.48 crore from earlier proposed Rs 2,342.35 crore in UDRHP.
The IPO will open for subscription on August 12 and close on August 14, with the anchor book opening on August 11. The company has fixed the price band at Rs 92 to Rs 97 per share. At the upper price band, the company will be valued at around Rs 7,057 crore or $743 million.
According to the RHP, the company has reduced the fresh issue size to Rs 885.5 crore from the Rs 1,100 crore proposed earlier. The offer also includes an offer for sale (OFS) worth Rs 731.98 crore by existing shareholders, down from the previously proposed size.
The OFS will be led by Lightrock, which plans to sell shares worth Rs 271.7 crore, followed by Tribe Capital and March Capital (through MCP3 SPV LLC), which will offload shares worth Rs 120 crore and Rs 55.53 crore, respectively. Other selling shareholders include AFOS, 500 Global, Agility International Investment, and Moore Strategic Ventures.
The company's co-founders Gautam Kapoor and Saahil Goel have reduced their OFS to Rs 61 crore each, while Vishesh Khurana will sell shares worth Rs 20 crore.
Notably, Arvind Ltd and Bertelsmann India Investments, which were part of the OFS in the earlier UDRHP, have opted not to participate in the RHP.
The company plans to use the proceeds from the fresh issue primarily to expand its platform across both its core and emerging businesses. Of the total, Rs 365.6 crore has been earmarked for growth initiatives, including Rs 205.8 crore for marketing and Rs 159.8 crore for technology infrastructure and capabilities. Another Rs 210 crore will be used to repay borrowings, while the remaining proceeds will support inorganic growth through acquisitions and general corporate purposes.
The IPO is being managed by Axis Capital, BofA Securities, JM Financial and Kotak, while KFin Technologies will act as registrar.
As per the RHP, Bertelsmann India Investments remains the company's largest shareholder with a 21.32% stake, followed by Tribe Capital with 14.14%. Eternal (formerly Zomato) holds 6.85%, while Temasek owns 5.29%. Co-founders Saahil Goel and Gautam Kapoor each hold a 4.84% stake, and the ESOP pool represents 5.97% of the company's shareholding.
Financially, the Gurugram-based company reported a 24% year-on-year increase in operating revenue to Rs 2,024 crore in FY26 from Rs 1,632 crore in FY25. Its net loss also increased 6.8% to Rs 79 crore during the same period.
