At ET Alpha Wealth Summit 2.0 on October 8, in Mumbai, a panel discussion with Vikas Satija, Aakash Desai, Ashish Mehrotra, Shantanu Sahai and Rakshat Kapoor will help dissect how high-net-worth investors assess private debt opportunities, downside protection and yield generation. What is structured debt? Structured debt refers to financing arrangements tailored around the specific needs of a borrower and the risk-return requirements of investors. Unlike standard corporate bonds, these instruments can incorporate customised repayment structures, security packages, covenants, collateral and seniority arrangements. The result is a financing solution designed to address situations where conventional lending may not provide sufficient flexibility. One of the key attractions of structured debt is its potential to generate enhanced yield. Borrowers may be willing to pay a premium for capital when they require funding for expansion, refinancing, acquisitions, working capital or other strategic purposes. For investors, the additional return can compensate for greater complexity, illiquidity or credit risk. However, yield alone is not enough to assess a structured debt opportunity. Assessing credit quality and cash flows Investors typically begin with the underlying borrower and its ability to generate sustainable cash flows. Revenue visibility, profitability, leverage, liquidity and debt-servicing capacity are important considerations. The quality of management, industry conditions and the borrower's existing capital structure can also influence the assessment. Investors need to understand not only how much interest a borrower promises to pay, but also whether its business can consistently generate the cash required to meet those obligations. The role of downside protection Downside protection is another central feature of structured debt. Investors may examine whether the debt is secured by tangible assets, receivables, shares or other collateral and where their claim sits in the capital structure. Senior secured positions, for example, generally have priority over subordinated claims in a recovery scenario. Strong documentation can further protect investors through financial covenants, restrictions on additional borrowing, minimum liquidity requirements and other conditions. Balancing yield and liquidity Private debt transactions also require investors to consider liquidity. Unlike listed bonds, many structured debt investments are negotiated privately and may not have an active secondary market. Investors therefore need to assess whether they are comfortable holding the investment until maturity and whether the expected return adequately compensates for limited liquidity. The role of structured debt in portfolios As private credit and customised financing grow, structured debt may remain relevant for investors looking for different sources of income. Its appeal lies in the ability to customise financing terms and potentially offer better protection against losses. However, these investments can be complex, making careful credit analysis, document review, valuation and risk management important. Experienced investors typically assess the entire capital structure and consider how the investment could perform under different situations. They may look at what could happen if revenue falls, refinancing becomes difficult, interest rates rise or asset values decline.
